2. Nature and Scope of Research Services
2.1 What we do
GoIndia Advisors LLP is registered with the Securities and Exchange Board of India as a Research Analyst under the SEBI (Research Analysts) Regulations, 2014. In that capacity, and only in that capacity, we prepare and publish research reports and make research-based buy, hold, sell and exit recommendations on securities listed on Indian stock exchanges, and we distribute those reports and recommendations to clients who have subscribed to our research services through www.goindiainvest.com.
2.2 What we do not do
We wish to be unambiguous about the limits of our registration and of our services.
- We are not a SEBI-registered Investment Adviser. We do not provide investment advice, personalised advice, financial planning, portfolio construction, asset allocation, or any assessment of the suitability of a security for an individual client. Our research is issued uniformly to all subscribers of a product and is not tailored to any client's circumstances.
- We do not provide portfolio management services. We do not manage, hold custody of, or have any access to client funds or securities.
- We do not provide merchant banking, investment banking, broking, distribution or execution services, and we receive no brokerage, commission, trail or distribution income of any kind from any intermediary. We have not partnered with any third party for execution or distribution.
- We cannot and will not execute any trade — purchase or sale — on behalf of any client. Clients are advised never to permit us to do so.
- We do not offer any assured, guaranteed, fixed or minimum return scheme, profit-sharing arrangement, or any scheme of a similar nature. Such schemes are prohibited by law.
- We will never ask for your trading account, demat account or bank account login credentials, passwords or OTPs. Do not share these with us or with anyone claiming to represent us.
2.3 Characteristics of our recommendations
Our recommendations are not uniform in format. Clients must read each research report on its own terms. The following describes the range of what we issue.
(a) Basis of the recommendation
A recommendation may be based on fundamental analysis, on technical analysis, on a combination of both, or on a quantitative or rule-based methodology. The basis applied is stated in the relevant research report.
(b) Market capitalisation
Our research universe is market-capitalisation agnostic. Recommendations may cover large-cap, mid-cap, small-cap or micro-cap companies. Smaller companies typically carry materially higher liquidity risk, price-impact risk, information risk and price volatility. Where a recommendation relates to a small-cap or micro-cap security, the research report carries a specific risk note to that effect.
(c) Target price
Some recommendations carry a target price and some do not. Where a target price is given, the research report also states the time horizon over which it applies, the valuation methodology or basis used to arrive at it, and the key assumptions and risks to that target.
A target price is an analyst estimate. It is not a forecast, a promise or an assurance. It may not be achieved, and the security may fall materially below the price at which the recommendation was issued.
(d) Stop loss
Some recommendations carry a stop loss and some do not. Where no stop loss is specified, the client must not infer that the position carries limited or no downside risk. Where a stop loss is specified, we neither execute it nor monitor the client's position; acting on it is entirely the client's decision and responsibility. In fast-moving, gapped or illiquid markets, the client's actual exit price may be materially worse than the stated stop loss level.
(e) Time horizon
Every recommendation states an indicative time horizon — for example intraday, short-term, medium-term, or multi-year. Certain products are expressly long-horizon and are not suitable for clients seeking short-term returns. The time horizon is indicative and does not constrain when we may revise or withdraw a view.
(f) Exit and closure of a recommendation
Where a product involves ongoing coverage, we endeavour to issue an exit or closure communication when our view on the security changes. This is a service commitment discharged on a best-effort basis. It is not a guarantee that an exit call will be issued at any particular price, at a profit, or before a loss arises. Coverage and exit communications cease immediately on the expiry, termination or non-renewal of a client's subscription.
(g) Uniform distribution
All clients subscribed to a given research product receive the same recommendation at substantially the same time, through the delivery modes stated in Section 7.7. We do not provide differentiated, prioritised or advance recommendations to any client, and no person receives a recommendation before it is released to subscribers.
(h) Record of rationale
We maintain a written record of the research, data and rationale underlying every recommendation, together with the date and time of its issue, for the period prescribed under the RA Regulations.
2.4 Research products offered
| Product | Research basis | Market-cap universe | Target price | Stop loss | Indicative horizon |
|---|---|---|---|---|---|
| GoIndia Compounders | Fundamental | Market-cap agnostic | Not given | Not given | Multi-year |
GoIndia Compounders — product disclosure
| What the client receives | A list of research recommendations on companies we assess as long-horizon compounders, together with the investment thesis for each, quarterly monitoring updates, and an exit communication when our thesis on a company breaks. |
| Research basis | Fundamental research, including forensic review of published financial statements, earnings call transcripts, investor presentations, exchange announcements and public disclosures. |
| Market-cap universe | Market-capitalisation agnostic. |
| Target price | Not given. Recommendations are issued as long-horizon holdings and are not accompanied by a price target. |
| Stop loss | Not given. Clients must not infer from this that the recommendations carry limited downside risk. |
| Indicative time horizon | Multi-year. |
| Number of open recommendations | Twelve to fifteen at any time. Additions pause once the list reaches fifteen open recommendations. |
| Frequency of additions | Approximately one new recommendation per month, subject to our finding a company that meets the selection criteria below. We do not add a recommendation merely to meet a monthly cadence. |
| Review and monitoring | Each open recommendation is reviewed quarterly following the company's results, and on the occurrence of any material event. |
| Benchmark | Nifty 500 |
| Subscription fee | Rs. 10,000 per annum, exclusive of GST and other statutory charges. |
| Subscription term | Twelve months from the date of activation. Access to the list, to the thesis notes and to exit communications ends on expiry of the subscription. |
Not a portfolio. GoIndia Compounders is a list of independent research recommendations. It is not a model portfolio, a portfolio construction exercise, or an asset allocation. We do not specify weights, position sizes, entry levels or a rebalancing schedule, and we do not assess whether the list, or any security in it, is suitable for any client. Each client decides which recommendations, if any, to act on, in what quantity, and at what price, based on that client's own financial position and risk appetite.
Selection criteria applied
A company is considered for inclusion only where, in our assessment, it displays:
- a long runway for growth in its addressed market;
- honest management and clean, consistent public disclosure;
- a demonstrated record of sound capital allocation;
- earnings that are predictable enough to be modelled with reasonable confidence;
- durable competitive advantages or pricing power; and
- a valuation we regard as reasonable relative to the above.
Categories we exclude
The following are outside the scope of this product: turnaround situations; penny stocks; highly leveraged companies; story stocks without established earnings; momentum trades; commodity cycle bets, save in exceptional cases; companies in the immediate aftermath of an initial public offering where valuation reflects issue-period sentiment; and any recommendation in futures or options.
Circumstances in which we issue an exit
We issue an exit communication where, in our assessment, any of the following has occurred: deterioration in governance; a break in the original investment thesis; deterioration in capital allocation; deterioration in earnings quality; an adverse change in industry structure; valuation that we regard as excessive relative to the business; or the availability of a materially more attractive alternative. An exit communication reflects our opinion at the date it is issued and is not a prediction of the security's subsequent price.
Who this product is not for
This product is not suitable for a client seeking short-term or assured returns, a client who requires a stop loss or a target price, a client who requires a constructed portfolio with defined weights, or a client who is unwilling or unable to hold a security through a period of significant drawdown.
2.5 Use of artificial intelligence and automated tools
We use artificial intelligence, machine-learning and rule-based automated tools to assist in data collection, screening, document processing and the preparation of research. Clients should note the following.
- These tools assist our analysts; they do not replace them. Every recommendation issued to clients is reviewed and approved by a Person Associated with Research Services holding a valid NISM-Series-XV certification, who remains responsible for it.
- GoIndia Advisors LLP remains fully and solely responsible to the client for the confidentiality and security of client data, for the outputs of these tools, and for compliance with the SEBI (Research Analysts) Regulations, 2014, irrespective of whether a tool is developed in-house or sourced from a third party.
- These tools do not guarantee profits, returns or accuracy. Their output depends on the quality of underlying data and on market conditions, neither of which is within our control.
- Where a specific recommendation has been generated primarily by an automated or quantitative process, the research report says so.
3. Disclaimer

Jurisdictional limits. Our services are offered only in jurisdictions in which it is lawful for us to offer them, and we retain sole discretion to determine who is eligible to subscribe. Non-resident Indian clients must independently satisfy themselves, before transacting, that any security we cover is not on a list of securities in which their transactions are restricted or prohibited by the Reserve Bank of India.

This ceiling does not apply to non-individual clients, to accredited investors, or to institutional investors seeking the recommendation of a proxy adviser, whose fee terms are governed by bilaterally negotiated contractual terms. The ceiling is subject to periodic revision by RAASB in consultation with SEBI.
5.2 Current fees

Fees may be paid by account payee crossed cheque, demand draft, UPI, or any other mode specified by SEBI from time to time. Cash payment is not accepted. Payments by cheque are subject to realisation.
Clients may optionally pay through the Centralised Fee Collection Mechanism for Investment Advisers and Research Analysts (CeFCoM), administered by BSE Limited in its capacity as the recognised RAASB.
Fees must be paid only into the bank account or accounts notified on www.goindiainvest.com. We will never ask a client to transfer fees to a personal account or to any third party.
5.5 Refund and termination
- Termination by the client. A client may terminate the research services at any time by written notice to hello@goindiaadvisors.com.

Where we invoice a client for any service that is not a research service under our SEBI registration, the invoice carries the legend: "This service is not under SEBI's purview; no complaints in relation to this service can be raised with SEBI."
6. Most Important Terms and Conditions
As prescribed by SEBI. Client consent to these terms is obtained and recorded before any research service is rendered.
- These terms and conditions, and consent thereon are for the research services provided by the Research Analyst (RA) and RA cannot execute/carry out any trade (purchase/sell transaction) on behalf of the client. Thus, the clients are advised not to permit RA to execute any trade on their behalf.
- The fee charged by RA to the client will be subject to the maximum of amount prescribed by SEBI/Research Analyst Administration and Supervisory Body (RAASB) from time to time (applicable only for Individual and HUF Clients).
- 2.1 The current fee limit is Rs. 1,51,000 per annum per family of client for all research services of the RA.
- 2.2 The fee limit does not include statutory charges.
- 2.3 The fee limits do not apply to a non-individual client or an accredited investor.
- RA may charge fees in advance if agreed by the client. Such advance shall not exceed the period stipulated by SEBI; presently it is one year. In case of pre-mature termination of the RA services by either the client or the RA, the client shall be entitled to seek refund of proportionate fees only for unexpired period.
- Fees to RA may be paid by the client through any of the specified modes like cheque, online bank transfer, UPI, etc. Cash payment is not allowed. Optionally the client can make payments through Centralized Fee Collection Mechanism (CeFCoM) managed by BSE Limited (i.e. currently recognized RAASB).
- The RA is required to abide by the applicable regulations/circulars/directions specified by SEBI and RAASB from time to time in relation to disclosure and mitigation of any actual or potential conflict of interest. The RA will endeavour to promptly inform the client of any conflict of interest that may affect the services being rendered to the client.
- Any assured/guaranteed/fixed returns schemes or any other schemes of similar nature are prohibited by law. No scheme of this nature shall be offered to the client by the RA.
- The RA cannot guarantee returns, profits, accuracy, or risk-free investments from the use of the RA's research services. All opinions, projections, estimates of the RA are based on the analysis of available data under certain assumptions as of the date of preparation/publication of research report.
- Any investment made based on recommendations in research reports are subject to market risks, and recommendations do not provide any assurance of returns. There is no recourse to claim any losses incurred on the investments made based on the recommendations in the research report. Any reliance placed on the research report provided by the RA shall be as per the client's own judgement and assessment of the conclusions contained in the research report.
- The SEBI registration, Enlistment with RAASB, and NISM certification do not guarantee the performance of the RA or assure any returns to the client.
- For any grievances:
Step 1: the client should first contact the RA using the details on its website — see the Grievance Redressal and Escalation Matrix at Section 9.
Step 2: if the resolution is unsatisfactory, the client can also lodge grievances through SEBI's SCORES platform at www.scores.sebi.gov.in
Step 3: the client may also consider the Online Dispute Resolution mechanism through the Smart ODR portal at https://smartodr.in
- Clients are required to keep contact details, including email id and mobile number/s updated with the RA at all times.
- The RA shall never ask for the client's login credentials and OTPs for the client's Trading Account, Demat Account and Bank Account. Never share such information with anyone including RA.

I/We are subscribing to the research services for our own benefit and consumption, and any reliance placed on the research report provided by the Research Analyst shall be as per our own judgement and assessment of the conclusions contained in the research report.

6.3 Additional voluntary clauses
Any voluntary clause added by us will not contravene any rule, regulation or circular of SEBI. Any change to a voluntary clause will be preceded by not less than fifteen days' notice to clients.
